1. Introduction

These Terms of Use ("Terms") govern your access to and use of the Kitenzo website at kitenzo.com ("Site") and the Kitenzo Shopify application ("App"), operated by Kitenzo Ltd ("we," "our," "us"), a company registered in England and Wales (company number 15839157) with its registered address at The Island House The Island, Midsomer Norton, Radstock, England, BA3 2DZ.

By accessing or using our Site or App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or App.

2. Definitions

• "App" means the Kitenzo Shopify application available through the Shopify App Store.
• "Merchant" means a Shopify store owner who installs and uses the App.
• "Services" means the product bundling tools, features and related services provided through the App and Site.
• "Content" means all text, images, data, information and other materials displayed on or available through the Site or App.

3. Eligibility

You must be at least 16 years of age to use our Site or App. By using our Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

To use the App, you must have an active Shopify store and comply with Shopify's own terms of service.

4. Account and Access

Access to the App is granted through the Shopify App Store. When you install the App, you authorise us to access certain data from your Shopify store as described in our Privacy Policy.

You are responsible for maintaining the security of your Shopify account and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

5. Use of the Services

We grant you a non-exclusive, non-transferable, revocable licence to use the App and Services in accordance with these Terms and Shopify's terms of service.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Services, other accounts, or systems connected to the Services
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the App
• Use the Services to transmit any viruses, malware or other harmful code
• Reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without our express written permission
• Use automated systems (bots, scrapers, etc.) to access the Services without our prior consent

6. Subscription and Billing

The App is offered on a subscription basis. All billing for the App is managed through Shopify's billing system. By subscribing, you agree to pay the applicable fees as displayed at the time of subscription.

We reserve the right to change our pricing at any time. Any price changes will take effect at the start of your next billing cycle. Continued use of the App after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

All intellectual property rights in the Site, App and Services, including but not limited to the software, design, text, graphics, logos and trademarks, are owned by or licensed to Kitenzo Ltd. Nothing in these Terms grants you any right, title or interest in our intellectual property.

You retain ownership of any content you create using the App (such as bundle configurations and product data). You grant us a licence to use this content solely for the purpose of providing the Services to you.

8. Availability and Modifications

We aim to ensure the Site and App are available at all times, but we do not guarantee uninterrupted access. We may suspend, withdraw, discontinue or change all or any part of the Services without notice. We will not be liable if for any reason the Site or App is unavailable at any time or for any period.

We reserve the right to modify, update or discontinue features of the App at any time. We will endeavour to give reasonable notice of any significant changes that may affect your use of the Services.

9. Third-Party Services

The App operates within the Shopify platform and relies on Shopify's APIs and services. Your use of Shopify is governed by Shopify's own terms of service and privacy policy. We are not responsible for any changes, outages or issues with the Shopify platform.

Our Site and App may contain links to third-party websites or services. We are not responsible for the content, privacy practices or terms of any third-party sites or services.

10. Limitation of Liability

To the fullest extent permitted by law:

• We exclude all implied conditions, warranties, representations or other terms that may apply to the Site, App or Services.
• We shall not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the use of, or inability to use, our Site, App or Services.
• We shall not be liable for any indirect or consequential loss or damage, any loss of profit, sales, business or revenue, loss of or damage to data, or loss of business opportunity.

Our total liability to you for all claims arising from or related to these Terms or the Services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

11. Indemnification

You agree to indemnify, defend and hold harmless Kitenzo Ltd, its directors, officers, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your use of the Site, App or Services, or your breach of these Terms.

12. Termination

You may stop using the App at any time by uninstalling it from your Shopify store. We may suspend or terminate your access to the App at any time, with or without cause, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the App and Services will cease immediately. We will handle your data in accordance with our Privacy Policy, including redacting store information and app core data within 48 hours of uninstallation.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may revise these Terms at any time by updating this page. The updated Terms will take effect from the date they are posted. We encourage you to review these Terms periodically. Your continued use of the Site or App after any changes constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
